1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and XDEX ("we", "us", "our", "Platform"), governing your access to and use of the XDEX decentralized exchange platform, including the website at xdexswap.com, our smart contracts deployed on the Solana blockchain, our stablecoin token (XDEX), and all related services, features, content, and applications (collectively, the "Services").

By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility and User Representations

By using the Services, you represent and warrant that:

• You are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into binding contracts.
• You are not a citizen or resident of, or located in, any jurisdiction where the use of cryptocurrency exchanges or decentralized finance platforms is prohibited or restricted by law.
• You are not subject to any sanctions administered or enforced by any country, government, or international authority.
• You will not use the Services for any illegal or unauthorized purpose.
• You have sufficient knowledge and experience in blockchain technology, cryptocurrency, and decentralized finance to understand the risks involved.
• You will comply with all applicable local, state, national, and international laws and regulations, including but not limited to those relating to anti-money laundering (AML) and know-your-customer (KYC) requirements.

3. Description of Services

XDEX provides a decentralized exchange platform on the Solana blockchain that enables users to:

• Swap between XDEX (XDEX Stablecoin) and USDC using our custom automated market maker (AMM) protocol.
• Provide liquidity to the XDEX/USDC liquidity pool and earn trading fees.
• Interact with smart contracts deployed on the Solana blockchain.
• Access real-time price quotes and market data.
• View transaction history and platform analytics.

The Services are provided on a non-custodial basis. XDEX does not custody, control, or manage user funds or private keys. Users maintain full control and responsibility for their cryptocurrency wallets and assets.

4. Non-Custodial Nature and User Responsibility

4.1 Non-Custodial Services: XDEX is a non-custodial platform. We do not hold, custody, control, or manage your cryptocurrency assets, private keys, seed phrases, or wallet credentials. All transactions are executed directly between your wallet and our smart contracts on the Solana blockchain.

4.2 User Responsibility: You are solely responsible for:

• Securing and maintaining the confidentiality of your wallet private keys, seed phrases, and credentials.
• All activities conducted through your wallet and account.
• Ensuring the accuracy of transaction details before confirming any transaction.
• Understanding the risks associated with blockchain technology and cryptocurrency transactions.
• Backing up your wallet information and recovery phrases.

4.3 Lost Access: We cannot recover or reset your private keys, seed phrases, or wallet passwords. Loss of access to your wallet credentials may result in permanent loss of access to your cryptocurrency assets. We are not responsible for any losses resulting from lost, stolen, or compromised wallet credentials.

5. Risks and Disclaimers

5.1 Blockchain and Cryptocurrency Risks: You acknowledge and accept the inherent risks associated with blockchain technology and cryptocurrency transactions, including but not limited to:

• Price Volatility: Cryptocurrency prices are highly volatile and may fluctuate significantly.
• Smart Contract Risks: Smart contracts may contain bugs, vulnerabilities, or design flaws that could result in loss of funds.
• Network Congestion: Blockchain network congestion may cause transaction delays or failures.
• Irreversibility: Blockchain transactions are generally irreversible and cannot be undone.
• Slippage: The final execution price may differ from the quoted price due to market movements.
• Impermanent Loss: Liquidity providers may experience impermanent loss due to price changes.
• Regulatory Changes: Changes in laws or regulations may affect the legality or availability of cryptocurrency services.
• Technical Failures: Software bugs, hardware failures, or connectivity issues may impact service availability.

5.2 No Investment Advice: The Services are provided for informational purposes only. Nothing on the Platform constitutes financial, investment, legal, or tax advice. You should consult with qualified professionals before making any financial decisions.

5.3 No Guarantees: We make no guarantees or warranties regarding:

• The future value or performance of any cryptocurrency or digital asset.
• The accuracy, completeness, or timeliness of pricing information or market data.
• The successful execution of any transaction.
• The availability or uptime of the Services.
• The security or integrity of the Solana blockchain network.

6. Fees and Costs

6.1 Platform Fees: XDEX charges the following fees:

• Swap Fee: 0.30% of the transaction amount
• Liquidity Provider Fee: 0.25% distributed to liquidity providers
• Protocol Fee: 0.05% allocated to the protocol treasury

6.2 Blockchain Fees: In addition to platform fees, you are responsible for paying all applicable blockchain network fees (gas fees, transaction fees) required to execute transactions on the Solana blockchain.

6.3 Fee Changes: We reserve the right to modify our fee structure with reasonable notice. Continued use of the Services after fee changes constitutes acceptance of the new fees.

7. Prohibited Uses and Activities

You agree not to use the Services to:

• Engage in any illegal activities, including money laundering, terrorist financing, fraud, or securities violations.
• Violate any applicable laws, regulations, or third-party rights.
• Manipulate markets, engage in wash trading, or conduct any form of market manipulation.
• Attempt to gain unauthorized access to the Platform, smart contracts, or other users' accounts.
• Interfere with or disrupt the Services or servers/networks connected to the Services.
• Reverse engineer, decompile, or disassemble any aspect of the Platform.
• Use automated tools (bots, scripts) without prior written authorization.
• Transmit viruses, malware, or any other malicious code.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Harvest or collect information about other users without their consent.
• Use the Services in any manner that could damage, disable, overburden, or impair the Platform.

We reserve the right to investigate violations and to terminate or restrict access to the Services for users who violate these Terms or engage in prohibited activities.

8. Intellectual Property Rights

8.1 Ownership: All content, features, functionality, design elements, graphics, logos, trademarks, service marks, trade names, software code, and other materials on the Platform (collectively, "Content") are owned by or licensed to XDEX and are protected by intellectual property laws.

8.2 License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for personal, non-commercial purposes.

8.3 Restrictions: You may not:

• Copy, modify, reproduce, distribute, publicly display, or create derivative works from any Content without our prior written consent.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
• Use any Content for commercial purposes without authorization.
• Frame or mirror any part of the Platform without our prior written consent.

8.4 Open Source: Certain components of our smart contracts may be released under open-source licenses. Such components are governed by the applicable open-source license terms.

9. Third-Party Services and Links

9.1 Third-Party Integrations: The Platform may integrate with or contain links to third-party services, including wallet providers (Phantom, Solflare, Glow), blockchain explorers, price data providers, and other external platforms.

9.2 No Endorsement: We do not endorse, control, or assume responsibility for any third-party services, websites, applications, or content. Your use of third-party services is at your own risk and subject to the terms and privacy policies of those services.

9.3 Wallet Providers: We are not responsible for the functionality, security, or availability of third-party wallet providers. You should review the terms and privacy policies of your chosen wallet provider.

10. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our collection and use of information as described in the Privacy Policy.

As a non-custodial platform, we collect minimal personal information. However, we may collect certain technical data, usage statistics, and publicly available blockchain transaction data to improve our Services and ensure platform security.

11. Compliance with Laws and Regulations

11.1 User Compliance: You are solely responsible for ensuring your use of the Services complies with all applicable laws and regulations in your jurisdiction, including but not limited to:

• Anti-Money Laundering (AML) laws and regulations
• Know Your Customer (KYC) requirements
• Counter-Terrorist Financing (CTF) laws
• Tax reporting and payment obligations
• Securities laws and regulations
• Data protection and privacy laws

11.2 Tax Obligations: You are responsible for determining and paying all applicable taxes arising from your use of the Services. We do not provide tax advice and recommend consulting with a qualified tax professional.

11.3 Regulatory Cooperation: We may be required to comply with legal processes, including subpoenas, court orders, or requests from government authorities. We may disclose information as required by law or to protect our legal rights.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT OR DATA
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE QUALITY, PERFORMANCE, OR RESULTS OF THE SERVICES
• WARRANTIES THAT DEFECTS OR ERRORS WILL BE CORRECTED

YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

13. Limitation of Liability

13.1 Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XDEX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or cryptocurrency assets
• Loss of goodwill or reputation
• Business interruption
• Personal injury or property damage
• Any other pecuniary loss

ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Cap on Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS ($100).

13.3 Basis of the Bargain: You acknowledge that the fees charged by XDEX reflect this allocation of risk and that we would not provide the Services without these limitations.

14. Indemnification

You agree to indemnify, defend, and hold harmless XDEX, its affiliates, subsidiaries, officers, directors, employees, agents, partners, licensors, and service providers (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights, including intellectual property rights
• Any unauthorized access to or use of your wallet or account
• Any content you submit or transmit through the Services
• Your negligence or willful misconduct

This indemnification obligation survives termination of these Terms and your use of the Services.

15. Dispute Resolution and Governing Law

15.1 Governing Law: These Terms and your use of the Services shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

TO THE FULL EXTENT PERMITTED BY LAW, (A) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR LITIGATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

16. Termination and Suspension

16.1 Termination by User: You may discontinue using the Services at any time. As a non-custodial platform, you retain full control of your assets.

16.2 Termination by XDEX: We reserve the right to suspend or terminate your access to the Services, in whole or in part, at our sole discretion, without notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Engagement in prohibited activities
• Suspected fraud or illegal activity
• Extended periods of inactivity
• Technical or security concerns
• Legal or regulatory requirements

16.3 Effect of Termination: Upon termination:

• All rights granted to you under these Terms will immediately cease
• You must discontinue all use of the Services
• You retain full control and access to your cryptocurrency assets through your non-custodial wallet
• Provisions that by their nature should survive termination shall survive, including but not limited to disclaimers, limitations of liability, indemnification, and dispute resolution provisions

17. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, or severe weather conditions
• War, terrorism, civil unrest, or government actions
• Blockchain network failures, forks, or disruptions
• Internet or telecommunications failures
• Cyber attacks, hacking, or security breaches
• Changes in laws or regulations
• Pandemics or public health emergencies
• Labor disputes or strikes

18. Modifications to Terms and Services

18.1 Modification of Terms: We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. We will provide notice of material changes by:

• Posting the updated Terms on the Platform with a new "Last Updated" date
• Displaying a prominent notice on the Platform
• Sending an email notification (if you have provided an email address)

Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue using the Services.

18.2 Modification of Services: We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice or liability.

19. General Provisions

19.1 Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and XDEX regarding the Services.

19.2 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19.3 Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

19.4 Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms without restriction.

19.5 Relationship: Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and XDEX.

19.6 English Language: These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in case of any inconsistency or dispute.
